Terms and Conditions

This English version is provided for convenience only. The German version is legally binding. In case of any discrepancy, the German version prevails.

§ 1 Scope

These Terms and Conditions apply to all contracts concerning Pagedrop (pagedrop.eu) between CovaSyn GmbH, Naunhofer Straße 67, 04299 Leipzig, Deutschland (“we”), and the customer. The offer is aimed exclusively at businesses within the meaning of § 14 of the German Civil Code (BGB), that is, natural or legal persons acting in the exercise of their commercial or independent professional activity when concluding the contract. The customer confirms this when ordering.

Deviating or supplementary terms of the customer do not become part of the contract, even if we do not expressly object to them.

§ 2 Services

Pagedrop (pagedrop.eu) provides the service described on the offer page. The German service description in the German version of these terms applies in addition. The service description on the offer page at the time of the order is decisive.

We may further develop and technically adapt the service as long as the agreed scope of functions is essentially maintained.

We provide the service within 24 hours of receiving the customer's complete details. If we set up a custom domain on request, the period is 48 hours, because registration, verification and DNS changes depend on third parties. If provision is delayed by missing or incorrect details or by circumstances beyond our control, the period is extended accordingly.

§ 3 Conclusion of contract

The presentation on the website is not a binding offer. By completing the order at checkout, the customer submits a binding offer. The contract is concluded when we confirm the order by email or begin to provide the service. We store the order data; these terms can be retrieved on this page at any time, and the customer receives the order data by email.

The contract language is German. The customer can correct input errors before submitting the order at checkout.

§ 4 Prices and payment

All prices are net prices plus statutory value-added tax, unless expressly stated otherwise.

One-time setup fees and the first charge are due with the order; recurring charges are due in advance for the booked billing period. Payment is made through the payment service provider Stripe using the payment methods offered there. We provide invoices electronically.

In case of late payment, we may suspend the service until payment is received. Statutory consequences of default remain unaffected.

§ 5 Term and termination

The contract has no minimum term. It renews automatically for the booked billing period (month or year) unless terminated beforehand.

The customer may terminate at any time with effect from the end of the current billing period, in text form by email to kontakt@pagedrop.eu. The right of both parties to terminate for good cause remains unaffected. After the contract ends, access to the service ends; fees already paid for the current period are not refunded pro rata, to the extent permitted by law.

We announce price changes in text form at least 30 days before they take effect. The customer may terminate effective as of the date of the change until it takes effect. Without termination, the new price applies from the next billing period.

§ 6 Annual payment

Instead of paying monthly, the customer may choose an annual fee equal to twelve monthly fees. For this annual fee, the first billing period lasts thirteen months; the thirteenth month is a bonus month at no additional charge. After that, the contract renews for twelve months at a time unless terminated beforehand. Termination is possible at any time with effect from the end of the current billing period.

§ 7 Money-back guarantee

Within 14 days after the contract is concluded, the customer may demand a refund without giving reasons, in text form by email to kontakt@pagedrop.eu. We will then refund in full the fee paid for this period, including the one-time setup fee and the booked add-on packages, via the original payment method, and end the contract on the date the statement is received.

This guarantee applies in addition to the customer’s statutory rights and does not restrict them.

§ 8 Customer cooperation and obligations

The customer is responsible for the accuracy and completeness of the details provided and for the lawfulness of the content supplied. The customer warrants that they hold the necessary rights to texts, images and trademarks and do not infringe third-party rights.

We are entitled to block published pages if content is manifestly unlawful or if we receive a substantiated complaint from a third party. We will inform the customer without delay.

§ 9 No legal advice

The service does not replace legal advice. Automatically generated or checked texts and findings are based on the customer’s details and general templates. The customer remains responsible for ensuring that their details are correct and sufficient for their business.

§ 10 Availability

We strive for the highest possible uninterrupted availability. Maintenance work, disruptions at third-party providers (for example hosting or payment providers) and force majeure may cause interruptions. No particular availability is guaranteed unless agreed otherwise.

§ 11 Liability

We are liable without limitation for intent and gross negligence, for injury to life, body or health, under the German Product Liability Act, and to the extent we have given a guarantee.

In cases of simple negligence, we are liable only for breach of essential contractual obligations (obligations whose fulfilment is necessary for the proper performance of the contract and on which the customer may regularly rely), and only up to the typical, foreseeable damage. Otherwise, liability for simple negligence is excluded. Liability for lost profits and indirect damage is excluded in cases of simple negligence.

§ 12 Data protection

Information on the processing of personal data can be found in the Privacy Policy. Where we process personal data on the customer’s behalf, the parties will conclude a data processing agreement under Art. 28 GDPR on request; it can be requested at kontakt@pagedrop.eu.

§ 13 Final provisions

The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods.

The exclusive place of jurisdiction is Leipzig if the customer is a merchant, a legal entity under public law or a special fund under public law.

If any provision of these terms is invalid, the validity of the remaining provisions remains unaffected.

Please direct questions about these terms and the contract to kontakt@pagedrop.eu.
